Texas Beer Fest at the Desperado Vendor Agreement
1. Purpose: The purpose of this Agreement is to outline the terms and conditions under which the Vendor will provide food/drink services at the Texas Beer Fest organized by the Organizer.
2. Vendor Obligations:
- Presence and Operation: The Vendor agrees to be present at the event from (Date TBD). The Vendor shall operate their food service booth during these hours.
- Booth Setup and Breakdown: The Vendor shall set up their booth between (Time TBD) on the event day and complete breakdown by (Time TBD). The Organizer will provide the Vendor with a designated space for their booth.
- Permits and Licenses: The Vendor must obtain and maintain all necessary permits and licenses required by local, state, and federal regulations for operating a food service business. The Vendor shall provide proof of these permits to the Organizer upon request.
- Health and Safety: The Vendor agrees to comply with all health and safety regulations, including but not limited to food handling and preparation standards. The Vendor shall ensure that all staff are trained and adhere to proper hygiene practices.
- Alcohol Regulation: The Vendor shall not serve alcohol to anyone under the age of 21. The Vendor must check and verify the age of individuals before serving alcoholic beverages and comply with all applicable state and local laws regarding the sale and distribution of alcohol.
- Vendor Fee: The Vendor agrees to pay the invoiced amount for participation in the event. This fee includes the designated booth space but does not include power. There is limited amount of water at the venue, so vendors need to bring their own water and ice. Vendor must supply their own generator.
- Payment Schedule: Payment must be made in full by (Date TBD.) The Organizer reserves the right to cancel the Vendor's participation if payment is not received by this date.
- Insurance: The Vendor shall maintain adequate insurance coverage for their operation, including general liability insurance. The Vendor shall provide proof of insurance to the Organizer prior to the event.
- Liability: The Vendor agrees to indemnify and hold harmless the Organizer, its affiliates, and employees from any claims, damages, or liabilities arising from the Vendor's participation in the event.
- Cancellation by Vendor: The Vendor may cancel their participation by providing written notice to the Organizer at least 10 days before the event. The Vendor will receive a refund of the fee paid minus a $50.00 cancellation fee.
- Cancellation by Organizer: The Organizer reserves the right to cancel the event due to unforeseen circumstances. In such cases, the Organizer will provide a full refund of the Vendor fee.
- Compliance: The Vendor agrees to comply with all rules and regulations set forth by the Organizer and any applicable local, state, or federal regulations.
- No Assignment: The Vendor may not assign or transfer their rights or obligations under this Agreement without the prior written consent of the Organizer.
- Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
